SMS and Messaging Communications Terms

1. OVERVIEW

These SMS and Messaging Communications Terms ("SMS Terms") describe all circumstances in which Uonyx, Inc. ("Uonyx", "we", "us", or "our") sends text messages (SMS) to users and individuals, the consent required for each type of message, and your rights to control and withdraw that consent.

Uonyx operates two independent SMS programmes. Consent for one programme does not imply consent for the other. Each requires a separate, affirmative, unchecked opt-in:

Compliance note: These SMS Terms are designed to comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, Canada's Anti-Spam Legislation (CASL), the EU ePrivacy Directive, GDPR, CCPA/CPRA, and applicable carrier guidelines including applicable carrier compliance requirements for all registered Uonyx messaging numbers.

These SMS Terms form part of the Uonyx legal framework. They complement the Privacy Policy (https://uonyx.com/legal/privacy) and Consent and Opt-In Policy (https://uonyx.com/legal/consent). For questions, contact privacy@uonyx.com.

2. PROGRAMME A — TRANSACTIONAL AND SECURITY MESSAGES

Programme A summary: One-time passcodes, verification codes, MFA codes, and security alerts. These are messages sent because you took an action or your account security requires it. Frequency depends on your account activity.

2.1 Types of Transactional and Security Messages

Uonyx sends the following categories of transactional and security messages under Programme A:

2.2 Message Frequency

Message frequency under Programme A varies based on your account activity. You may receive between zero and several messages per day depending on how frequently you log in, perform account actions, or trigger security events. Uonyx does not send scheduled or recurring Programme A messages independently of your activity.

2.3 Programme A Consent Language

The following verbatim consent text is displayed at the point of phone number entry for Programme A. The checkbox is always rendered unchecked:

provided. These are transactional messages related to your account

Reply STOP-A to opt out of security messages or HELP for assistance.

Note: Opting out of security messages may limit your ability to

use SMS-based multi-factor authentication.

2.4 Programme A Opt-Out

To stop receiving Programme A transactional and security messages:

  • Reply STOP-A: Reply 'STOP-A' to any Programme A message to opt out of security SMS only, without affecting Programme B.
  • Reply STOP: Reply 'STOP' to opt out of all Uonyx SMS messages from this number (both Programme A and Programme B).
  • Account settings: Navigate to Settings > Security > Phone and Authentication and disable SMS authentication.
  • Email: Send 'Programme A SMS Opt-Out' to privacy@uonyx.com with your phone number.

Opting out of Programme A security messages will disable SMS-based OTP and MFA for your account. If you rely on SMS for two-factor authentication, ensure you have an alternative authentication method configured before opting out.

3. PROGRAMME B — MARKETING AND PROMOTIONAL MESSAGES

Programme B summary: Marketing messages are completely separate from security messages and require a separate, independent opt-in. You will never receive marketing SMS messages unless you have explicitly opted in to Programme B. Consenting to OTP/security messages does not enrol you in marketing messages.

3.1 Types of Marketing Messages

When you opt into Programme B, Uonyx may send the following categories of marketing and promotional SMS messages:

Maximum combined frequency for Programme B is approximately 8 messages per month. Uonyx will not exceed this frequency without notifying you and obtaining fresh consent.

3.2 Programme B Consent Language — Standard Opt-In

The following verbatim consent text is displayed on marketing opt-in forms, at account registration (as a separate, additional checkbox), and at any point where Uonyx invites you to subscribe to marketing SMS. The checkbox is always rendered unchecked and is entirely independent of the Programme A checkbox:

3.3 Programme B Consent Language — Double Opt-In (Canadian Recipients)

For recipients who provide a Canadian phone number, or where Uonyx has reason to believe the recipient may be located in Canada, Uonyx applies a double opt-in process in compliance with Canada's Anti-Spam Legislation (CASL). After ticking the Programme B opt-in checkbox, the individual receives a confirmation SMS before any marketing messages are sent:

Marketing messages are only sent to Canadian recipients after the recipient has replied YES to the confirmation message. No marketing messages are sent on the basis of the initial checkbox alone.

3.4 Consent Is Not a Condition of Purchase or Service

Opting in to Programme B marketing messages is never a requirement to access the Uonyx platform, create an account, or use any feature of the Services. Refusing or withdrawing Programme B consent has no effect on your account status or access to the Services.

3.5 Programme B Opt-Out

To stop receiving Programme B marketing SMS messages at any time:

  • Reply STOP: Reply 'STOP' to any Programme B marketing message. You will receive the confirmation auto-reply and no further marketing messages will be sent.
  • Reply STOP-B: Reply 'STOP-B' to opt out of marketing messages only, without affecting Programme A security messages.
  • Unsubscribe link: Each marketing SMS includes a short URL directing to the opt-out form at https://uonyx.com/sms-unsubscribe.
  • Account settings: Navigate to Settings > Notifications > SMS Marketing and toggle off.
  • Email: Send 'Programme B SMS Opt-Out' to privacy@uonyx.com with your phone number.

Uonyx processes all opt-out requests immediately at the carrier level. You should not receive additional marketing messages after replying STOP. If you do receive a message after opting out, contact privacy@uonyx.com immediately.

4. INDEPENDENCE OF THE TWO PROGRAMMES

The two SMS programmes described in this document are entirely independent. Uonyx maintains separate consent records, separate opt-out suppression lists, and separate compliance obligations for each programme. The table below summarises the key differences:

Critical rule: A user who has consented to Programme A (transactional messages) has NOT consented to Programme B (marketing messages). Consent for Programme A must never be used as authority to send Programme B marketing messages. This separation is required under TCPA, CASL, GDPR, and carrier guidelines.

5. MESSAGE RATES, SENDING NUMBERS, AND DELIVERY

5.1 Message and Data Rates

Standard message and data rates may apply to SMS messages received from Uonyx, depending on your mobile carrier plan. Uonyx does not charge any additional fee for sending messages. Any charges are levied by your mobile carrier.

5.2 Sending Number(s)

Uonyx may send SMS messages from one or more registered, carrier-verified sending numbers. The specific number(s) used may vary depending on the recipient's region, the type of message being sent (Programme A or Programme B), and Uonyx's operational requirements at the time of sending.

Uonyx will use only registered numbers that comply with applicable carrier requirements. A current list of Uonyx's active SMS sending numbers is available at https://uonyx.com/legal/sms-terms. This list is updated when new numbers are registered or existing numbers are retired.

Where required by carrier or regulatory rules, messages will identify Uonyx as the sender. We recommend saving any Uonyx number that contacts you under the name 'Uonyx' in your contacts to help identify future messages.

5.3 Delivery

Uonyx is not responsible for delays or failures in message delivery caused by carrier congestion, device availability, geographic coverage limitations, or circumstances outside Uonyx's reasonable control. Uonyx does not guarantee delivery of time-sensitive messages (such as OTP codes) where carrier conditions prevent timely transmission. If you do not receive an expected OTP code, use the 'Resend code' option in the platform, or use an alternative authentication method.

5.4 Supported Carriers

Uonyx SMS messages are supported by all major U.S. and Canadian wireless carriers, including AT&T, T-Mobile, Verizon, Rogers, Bell, Telus, and others. Availability and delivery times may vary by carrier.

6. AUTOMATED KEYWORD RESPONSES

The following automated keyword responses must be configured for all active Uonyx SMS sending numbers. These responses are required by carrier compliance rules.

Developer note: Implement STOP-A and STOP-B as custom keyword handlers in Twilio (not native opt-out, which only handles STOP). The native Twilio STOP handler should be left active for the global STOP keyword. STOP-A and STOP-B require custom webhook logic that updates the user's consent record for the specific programme only.

7. REGULATORY COMPLIANCE

Uonyx's SMS programmes are designed to comply with all applicable laws and carrier regulations governing SMS communications. The table below summarises compliance by framework:

8. PRIVACY AND DATA PROTECTION

8.1 Use of Phone Numbers

Your phone number is collected and used only for the SMS programme(s) to which you have consented. Uonyx does not:

  • Sell, rent, or share your phone number with third parties for their own marketing purposes;
  • Use your Programme A (transactional) consent to send Programme B (marketing) messages;
  • Use your phone number for any purpose other than the programme(s) you have consented to; or
  • Transfer your phone number to a third party except to the SMS delivery service provider required to transmit the message.

8.2 Consent Records

Uonyx maintains separate consent records for Programme A and Programme B. Each record captures the user identifier, phone number (hashed), timestamp, consent mechanism, version of consent language displayed, and opt-out timestamp where applicable. Consent records are retained for a minimum of three (3) years following opt-out or termination of the relevant programme.

8.3 Sub-Processors

Your phone number and message content may be processed by Uonyx's SMS delivery service provider for the sole purpose of transmitting messages you have consented to receive. This provider is engaged as a data processor under a written agreement imposing data protection obligations consistent with applicable law. 9. CONTENT STANDARDS AND PROHIBITED USES

All SMS messages sent by Uonyx under both Programme A and Programme B comply with the following content standards required by U.S. and Canadian carriers:

  • Messages clearly identify Uonyx as the sender in every message;
  • Messages do not contain deceptive, misleading, or fraudulent content;
  • Messages do not contain content related to prohibited categories including cannabis, firearms, gambling, alcohol, tobacco, adult content, hate speech, or other categories restricted by carrier guidelines;
  • Marketing messages (Programme B) are accurate and truthful representations of Uonyx products, services, and offers;
  • No Programme B messages are sent to individuals who have not provided express prior consent;
  • Every Programme B message includes opt-out instructions (Reply STOP); and
  • OTP and security messages (Programme A) contain only information directly relevant to account security.

Uonyx does not permit its customers or Authorised Users to send SMS messages to third parties through the Uonyx platform using Uonyx's registered toll-free number. Customer-initiated outbound SMS (where customers use Uonyx's messaging features to contact their own clients) is subject to the customer's own compliance obligations and must not use any of Uonyx's registered sending numbers.

10. UPDATES TO THESE SMS TERMS

Uonyx may update these SMS Terms from time to time to reflect changes in the scope of SMS communications, applicable law, or carrier requirements. When material changes are made, Uonyx will:

  • Publish the updated SMS Terms at https://uonyx.com/legal/sms-terms with a revised version number and effective date;
  • Notify opted-in subscribers of material changes that affect their Programme B subscription by SMS or email before those changes take effect; and
  • Where a change requires fresh consent — for example, where a new category of marketing message is introduced — obtain express consent before sending that new category.
