1. INTRODUCTION AND ACCEPTANCE

Who these terms apply to: These End User Terms of Service apply to you personally as an individual who accesses or uses the Uonyx platform. If you are a business entity subscribing to Uonyx, please refer to the Uonyx Terms of Use at https://uonyx.com/legal/terms.

These End User Terms of Service ("User Terms" or "Agreement") govern your individual access to and use of the Uonyx enterprise ERP platform, including all modules, features, applications, APIs, and associated services (collectively, the "Services") provided by Uonyx, Inc. ("Uonyx", "we", "us", or "our"), a corporation incorporated under the laws of the State of California, United States.

You are accessing the Services because an organization — your employer, a contractor, a client, or another business entity (the "Organization") — has subscribed to Uonyx and provisioned an account for you. By accessing or using the Services in any way, you agree to be bound by these User Terms. If you do not agree, you must not access or use the Services.

These User Terms do not replace or supersede the agreement between the Organization and Uonyx. The Organization retains responsibility for your access and for ensuring you comply with these User Terms. If there is any conflict between these User Terms and the Organization's own internal policies, the more restrictive requirement shall apply.

2. YOUR RELATIONSHIP WITH THE ORGANIZATION

2.1 Access Provisioned by the Organization

Your access to the Services is provisioned by the Organization that has subscribed to Uonyx. The Organization is responsible for managing your account, defining your access permissions, and determining what modules and data you can access within the platform. Uonyx is not a party to any employment, contractor, or service relationship between you and the Organization.

2.2 Organization's Control Over Your Account

The Organization has administrative control over your account and may, at any time and without notice to you: (a) modify, restrict, or revoke your access to the Services or specific modules; (b) access, monitor, export, or delete content and data you submit to the platform, including messages sent through the Raven communication module; (c) reset your account credentials; and (d) terminate your access entirely. These actions are governed by the Organization's agreement with Uonyx and by applicable law, not by these User Terms.

2.3 Data Submitted to the Platform

Any data, content, files, messages, records, or other information you submit to the Services ("Your Content") is processed on behalf of the Organization, which acts as the data controller. Uonyx processes Your Content as a data processor under the instructions of the Organization. If you have questions about how Your Content is used, stored, or shared, you should direct those questions to the Organization, not to Uonyx.

2.4 Leaving the Organization

When your relationship with the Organization ends — whether by resignation, dismissal, contract termination, or otherwise — your access to the Services will be managed by the Organization. Uonyx will act on the Organization's instructions regarding your account. You have no independent right to access, retain, or export Organization data through your account after your relationship with the Organization ends.

3. YOUR ACCOUNT AND CREDENTIALS

3.1 Account Credentials

You are responsible for maintaining the confidentiality of your account credentials, including your username, password, and any multi-factor authentication tokens assigned to your account. You must not share your credentials with any other individual, including colleagues. If you suspect that your credentials have been compromised, you must notify your Organization's administrator and contact Uonyx at security@uonyx.com immediately.

3.2 Account Activity

You are responsible for all activities that occur under your account, whether or not authorized by you. Uonyx is not liable for any loss or damage arising from unauthorized use of your account where such use results from your failure to maintain the security of your credentials.

3.3 Accurate Information

Where you provide information during account setup or within the platform (such as your name, role, or contact details), you agree to ensure that such information is accurate and current.

3.4 Multi-Factor Authentication

Where the Organization or Uonyx requires multi-factor authentication (MFA) for your account, you are required to comply. MFA significantly reduces the risk of unauthorized account access and protects both your account and the Organization's data.

4. ACCEPTABLE USE

Important: Your use of the Services must comply with these User Terms, the Organization's acceptable use policies, and all applicable laws. Violations may result in suspension of your access.

4.1 Permitted Use

You may use the Services solely for legitimate business purposes as authorized by the Organization and in accordance with the Documentation and these User Terms.

4.2 Prohibited Conduct

You must not, under any circumstances:

  • Unauthorized access: Attempt to access any account, data, system, or module within the Services that you are not authorized to access by the Organization or by Uonyx.
  • Security interference: Probe, scan, or test the vulnerability of the Services; circumvent or disable authentication mechanisms, access controls, or security features; or interfere with the integrity or availability of the Services.
  • Malicious software: Upload, transmit, or deploy malware, viruses, ransomware, or any other malicious code through the Services.
  • Illegal activity: Use the Services to engage in, facilitate, or promote any unlawful activity, including fraud, data theft, harassment, or the distribution of unlawful content.
  • Harmful communications: Use the Raven communication module or any other messaging or notification feature within the Services to send spam, harassing messages, threatening communications, discriminatory content, or any other content that violates applicable law or the Organization's policies.
  • AI misuse: Use AI-powered features within the Services to generate harmful, deceptive, unlawful, or discriminatory content, or to automate activities that violate these User Terms.
  • Intellectual property infringement: Upload or transmit content that infringes the copyright, trademark, or other intellectual property rights of any third party.
  • Unauthorized data access: Access, copy, download, or export data or records belonging to the Organization or other users that you are not authorized to access.
  • Impersonation: Impersonate any individual, the Organization, Uonyx, or any other person or entity within the Services.
  • Reverse engineering: Attempt to decompile, disassemble, or reverse engineer any component of the Services.

5. COMMUNICATION AND COLLABORATION TOOLS

5.1 Raven Communication Module

Uonyx includes Raven, a workplace communication and collaboration application that enables team messaging, channels, direct messaging, notifications, and internal coordination. Raven is intended for professional business communication within the Organization.

5.2 Communication Standards

When using Raven or any other communication feature within the Services, you agree to:

  • Communicate professionally and respectfully with colleagues and other platform users
  • Refrain from sending messages that are harassing, threatening, discriminatory, defamatory, or otherwise inappropriate in a professional workplace
  • Refrain from sharing confidential or sensitive business information outside of authorized channels or with individuals who are not authorized to receive it
  • Comply with the Organization's communication and information security policies

5.3 No Expectation of Privacy in Business Communications

You acknowledge that communications sent through Raven and other platform modules are business communications made using systems owned, configured, and administered by the Organization. The Organization may access, monitor, export, or review these communications in accordance with applicable law and its internal policies. You should not have an expectation of personal privacy in business communications transmitted through Organization-administered systems.

6. INTELLECTUAL PROPERTY

6.1 Uonyx Intellectual Property

All intellectual property rights in and to the Services — including the platform software, AI models, user interface, design, documentation, trademarks, and all associated content — are owned by Uonyx or its licensors. Your use of the Services does not grant you any ownership of or rights in Uonyx's intellectual property beyond the limited right to access the Services for authorized business purposes during the period your access is active.

6.2 Your Content

Content, data, and materials you submit to the Services remain subject to the ownership rights you hold in that content, subject to the Organization's ownership rights under its employment or contractor agreement with you. You grant Uonyx the limited right to process your content solely as necessary to provide the Services to the Organization.

6.3 Restrictions

You must not copy, reproduce, distribute, modify, or create derivative works based on any component of the Services; remove or obscure any copyright or trademark notices within the Services; or use Uonyx's trademarks or branding without prior written consent.

7. AI-POWERED FEATURES

7.1 Nature of AI Features

The Services include AI-powered features designed to assist with business operations, including automated recommendations, predictive analytics, workflow automation, and AI-assisted content generation. These features are tools to support your work and are not a substitute for your professional judgment.

7.2 Your Responsibility

You are responsible for reviewing and validating any output generated by AI features before relying on it. Uonyx does not warrant the accuracy, completeness, or appropriateness of AI-generated outputs for any specific purpose. You must not use AI features to generate content that is harmful, illegal, discriminatory, deceptive, or in violation of these User Terms.

7.3 AI and Data

Your use of AI features within the platform is subject to the data processing terms agreed between Uonyx and the Organization. Personal data processed through AI features is handled in accordance with the Uonyx Privacy Policy and the applicable Data Processing Agreement.

8. PRIVACY AND DATA PROTECTION

8.1 Privacy Policy

Uonyx's Privacy Policy, available at https://uonyx.com/legal/privacy, describes how Uonyx handles personal data in its capacity as a data controller — for example, when you interact with Uonyx's website or marketing communications. The Privacy Policy is incorporated into these User Terms by reference.

8.2 Data Processed on the Organization's Behalf

When you use the Services within your Organization's account, personal data you submit or that is generated by your use of the platform is processed by Uonyx as a data processor on behalf of the Organization. The Organization is responsible for informing you of how your data is processed and for complying with applicable data protection law. If you have questions about how your personal data is handled within the Organization's Uonyx account, please contact your Organization's designated privacy contact or account administrator.

8.3 Your Rights

Depending on your country of residence and applicable data protection law, you may have rights in relation to your personal data, including the right to access, correct, delete, or port your data. For data processed by Uonyx on behalf of the Organization, requests should generally be directed to the Organization as data controller. For data processed by Uonyx as an independent data controller, requests may be submitted to privacy@uonyx.com.

9. YOUR SECURITY RESPONSIBILITIES

The security of the Services depends in part on your own security practices. You agree to:

  • Use strong, unique passwords for your account and change your password promptly if you believe it has been compromised
  • Enable multi-factor authentication on your account if required by the Organization or Uonyx, and where MFA is optional, Uonyx strongly encourages you to enable it
  • Lock your device and log out of the Services when you are not using them, particularly on shared or public devices
  • Refrain from installing unauthorized browser extensions, plugins, or software that interact with the Services
  • Report any actual or suspected security incident, unauthorized account access, or data loss promptly to your Organization's IT or security team and to Uonyx at security@uonyx.com
  • Comply with the Organization's information security policies and any security requirements communicated to you through the platform

10. SUSPENSION AND TERMINATION OF YOUR ACCESS

10.1 Suspension or Termination by the Organization

The Organization may suspend or terminate your access to the Services at any time, for any reason, without prior notice to you. This includes, without limitation, when your employment or engagement with the Organization ends, when you violate the Organization's policies, or when the Organization's Subscription with Uonyx is modified or terminated.

10.2 Suspension or Termination by Uonyx

Uonyx may suspend your individual access to the Services, with or without notice, if Uonyx determines that you have violated these User Terms, engaged in activity that poses a security or legal risk to the Services or other users, or if required by applicable law.

10.3 Effect of Termination

Upon termination of your access: (a) your right to use the Services immediately ceases; (b) any content you submitted to the Services remains subject to the Organization's control and data retention obligations; (c) you must immediately cease any use of the Services and delete any locally cached platform materials. Sections 4, 6, 8, 11, 12, and 13 of these User Terms survive termination.

11. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UONYX MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING AS TO THEIR ACCURACY, RELIABILITY, COMPLETENESS, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. UONYX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY SPECIFIC PURPOSE.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UONYX'S LIABILITY TO YOU AS AN INDIVIDUAL END USER IS LIMITED AS FOLLOWS: (A) UONYX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES; AND (B) UONYX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE USER TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).

Your primary contractual relationship with respect to the Services is with the Organization, not with Uonyx. Any employment-related claims, claims for compensation, or claims arising from your working relationship should be directed to the Organization.

13. GOVERNING LAW AND DISPUTES

These User Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these User Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Orange County, California.

Nothing in this Section limits any rights you may have under applicable mandatory consumer protection or employment law in your jurisdiction.

14. CHANGES TO THESE USER TERMS

Uonyx may update these User Terms from time to time. When material changes are made, the updated User Terms will be published at https://uonyx.com/legal/user-terms with a revised effective date. Where practicable, Uonyx will provide notice through the platform or by email. Your continued use of the Services after the effective date of any change constitutes your acceptance of the updated User Terms.
